What Vareth Intelligence is
Vareth Intelligence operates a curated acquisition introduction marketplace. We review opportunities submitted by business owners and authorized representatives, build anonymized opportunity profiles, identify buyers whose stated acquisition criteria appear to fit, and, with the seller side's approval, introduce the parties. The introduction is the service.
What Vareth Intelligence is not
This section is central to this agreement. Vareth Intelligence:
- is not a business broker, finder, or intermediary representing any party to a transaction, and does not act as agent for any buyer or seller;
- is not an investment bank, broker-dealer, investment adviser, financial adviser, accountant, or law firm, and provides no investment, legal, tax, accounting, or valuation advice;
- does not value businesses, set or opine on prices, or provide fairness opinions;
- does not negotiate, structure, document, or close transactions;
- does not conduct due diligence for any party;
- does not hold, transmit, or escrow transaction funds;
- owes no fiduciary duty to any user; and
- does not guarantee that any business will sell, that any introduction will lead to a transaction, or any price, terms, or timeline.
Any transaction that follows an introduction is negotiated, evaluated, and completed solely by the parties and their own professional advisers. Each party is responsible for its own independent due diligence and for retaining its own legal, tax, accounting, and financial advisers.
Eligibility
You must be at least 18, able to form a binding contract, and using the Services for business purposes. The Services are offered for opportunities and buyers in the United States.
Accounts and accuracy
You agree to provide accurate, current, and complete information, and to update it as it changes. You are responsible for activity under your account and for keeping credentials confidential.
Seller-side terms
These apply to owners, shareholders, advisors, and other authorized representatives who submit opportunities ("Submitters").
5.1 Authority
You represent and warrant that you are the owner or an authorized representative of the business, that you have the right to submit and discuss the opportunity, and that submission does not violate any agreement binding you or the business (including any exclusive engagement). Advisors represent that they hold a valid engagement and that the client has approved use of additional buyer-sourcing channels where such approval is required.
5.2 Accuracy; seller-reported information
All information you submit must be accurate and complete in all material respects to the best of your knowledge. Financial figures you provide are presented to buyers labelled "seller-reported." Vareth Intelligence does not audit, verify, normalize, or certify them, and you acknowledge that buyers are told this.
5.3 What we do with a submission
We review submissions against our published marketplace standards and may accept, return for clarification, hold, or decline any submission at our discretion. Acceptance creates no obligation to match or introduce.
5.4 Anonymity and disclosure
Before an introduction, buyers see an anonymized profile. Your identity and contact information are disclosed only to a buyer whose introduction you (or your designated recipient) approve, together with any documents you authorize. You are responsible for what you disclose after an introduction.
5.5 Withdrawal
You may withdraw an opportunity at any time by written notice. Withdrawal does not affect introductions already made or Section 10.
5.6 No fees to sellers for the marketplace
Vareth Intelligence charges Submitters no listing fee, no success fee, and no commission for marketplace participation. Optional seller-readiness services, if offered, are separate written engagements with their own scope and fees.
Buyer-side terms
These apply to registered buyers and their organizations ("Buyers").
6.1 Profile accuracy
Your acquisition profile must accurately reflect your actual criteria, capability, and intent. We rely on it to match.
6.2 Independent diligence
All opportunity information, including seller-reported financials, is provided for preliminary evaluation only. You are solely responsible for independent due diligence and for engaging your own professional advisers before pursuing or completing any transaction. A difference between seller-reported figures and your diligence findings is an expected outcome of diligence, not a defect in the Services.
6.3 Confidentiality
Non-public information you receive through the Services, including anonymized briefs, identities disclosed at introduction, documents, and the fact that a business may be for sale, is Confidential Information. You will: use it solely to evaluate the opportunity; restrict it to personnel and advisers who need it and are bound by confidentiality obligations at least as protective; not contact the business's employees, customers, suppliers, or lenders about the opportunity without the seller side's consent; and return or destroy it on request. These obligations survive for three (3) years from disclosure, and indefinitely for information that constitutes a trade secret.
6.4 No circumvention
You will not use the Services to identify an opportunity and then approach it outside the marketplace process to avoid your obligations to Vareth Intelligence. Section 10 governs attribution.
6.5 Fees
Fees for marketplace access and introductions are governed by your separate written agreement with Vareth Intelligence.
Verification labels
Vareth Intelligence applies defined labels ("Participant verified," "Business verified," "Supporting documents reviewed," "Seller-reported financials") whose meanings are published on our Verification page and incorporated into these Terms. The labels mean exactly what those definitions say and nothing more. No label is an audit, a quality-of-earnings review, an endorsement, or a substitute for due diligence.
Discrepancies
If we identify a material inconsistency in opportunity information before an introduction, we may pause, correct, or remove the opportunity. If an error originates with Vareth Intelligence, we will correct and disclose it; any Buyer remedy is set out exclusively in the Buyer's separate written agreement. Participants who intentionally misrepresent information may be suspended or removed under Section 17.
Communications
By providing contact details you agree we may contact you about your inquiry, submission, or account by email and phone. Marketing calls or texts using automated technology occur only with the separate express consent captured on our forms, which you may revoke at any time. Marketing emails include an unsubscribe. Consent to marketing is never a condition of using the Services.
Introduction attribution
If Vareth Intelligence introduces a Buyer to an opportunity and that Buyer (or its affiliate) completes a transaction with that business within twelve (12) months of the introduction, the introduction is attributed to Vareth Intelligence regardless of the channel through which discussions continued, with any resulting obligations governed by the Buyer's separate written agreement with Vareth Intelligence.
Intellectual property
The Services, site content, opportunity-profile formats, and marketplace materials are owned by Vareth Intelligence or its licensors. We grant you a limited, revocable, non-transferable licence to use them for participating in the marketplace. You retain ownership of materials you submit and grant Vareth Intelligence a licence to host, reproduce, anonymize, and display them as needed to operate the Services, including creating anonymized profiles. Feedback you provide may be used without restriction or compensation.
Acceptable use
You will not: misrepresent identity, authority, or information; use the Services to harvest data or build competing databases; scrape, reverse-engineer, or probe the Services; upload malicious code; use another participant's confidential information outside the marketplace process; or use the Services in violation of law.
Third-party services
Forms, scheduling, payments, and communications may run on third-party platforms. Their availability is not guaranteed by Vareth Intelligence, and their terms govern your use of them.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARETH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING SECTION 2: VARETH DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY PARTICIPANT-SUPPLIED INFORMATION, THAT ANY OPPORTUNITY OR BUYER IS SUITABLE FOR YOU, THAT ANY INTRODUCTION WILL OCCUR OR LEAD TO A TRANSACTION, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) VARETH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, OR LOST DATA; AND (b) VARETH'S TOTAL LIABILITY ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID VARETH IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AND (ii) FIVE HUNDRED DOLLARS ($500). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or wilful misconduct.
Indemnification
You will defend and indemnify Vareth Intelligence and its officers, employees, and agents against third-party claims and resulting losses arising from: (a) your breach of these Terms, including the representations in Sections 5.1, 5.2, and 6.1; (b) information or materials you submit; (c) your misuse of Confidential Information; or (d) any transaction or dispute between you and another participant. We may assume the defense at our expense; you will cooperate.
Suspension, removal, termination
We may suspend or remove any participant, opportunity, or account, and decline any submission or introduction request, where we reasonably believe these Terms have been breached, information is materially inaccurate, authority is lacking, or the marketplace's integrity or another participant's confidentiality is at risk. You may stop using the Services at any time; Submitters may withdraw under Section 5.5. Sections that by their nature survive (including Sections 2, 6.2-6.4, 8, 10, 11, and 14-19) survive termination.
Dispute resolution; governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Any dispute arising out of these Terms or the Services will be resolved exclusively in the state and federal courts located in Natrona County, Wyoming, and each party consents to jurisdiction and venue there. EACH PARTY WAIVES TRIAL BY JURY IN ANY SUCH DISPUTE.
General
If a provision of these Terms is unenforceable, the rest remain in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset sale. These Terms, together with any separate written agreement you enter with Vareth Intelligence, are the entire agreement about the Services. We may update these Terms; material changes take effect thirty (30) days after notice on the site or by email, and continued use is acceptance.
