A full inbox is not the same as real demand

Owners who signal that they might sell tend to hear from a lot of people. Very few of them are realistic acquirers.

Some are competitors, and the conversation is really about your customer list. Some are buyers whose funding is theoretical. Some are perfectly serious but structurally wrong: the wrong size, the wrong sector, the wrong appetite for the kind of ownership transition you want.

Each of those conversations takes a management meeting, a document request and a fortnight of your attention. Meanwhile the business still has to be run, and every additional person who knows you are exploring a sale is another route by which staff, customers or suppliers find out before you are ready.

The problem is not a shortage of interest. It is that interest is free to express and expensive to receive.

We filter before you do

Your opportunity goes to a shortlist of acquirers, chosen because their registered criteria match your business. Everyone else on the marketplace does not see it. You are not a listing that anyone can browse.

We keep you anonymous until you decide otherwise

Buyers first see a non-identifying profile: sector, broad geography, size ranges, ownership situation, why you are exploring a sale. Your company name and contact details are released at the introduction stage, with your approval.

We tell you why each buyer was selected

Every introduction comes with a plain-English reason: this acquirer buys in your sector, at your size, in your region, and here is the strategic rationale. If we cannot state the reason in one sentence, we do not make the introduction.

Nothing, for the marketplace itself

There is no fee to submit an opportunity, no listing fee, and no success fee payable to Vareth if you sell to a buyer we introduced. Buyers fund the marketplace.

Two things worth being straight about:

You may still pay other people. If you engage an M&A advisor, a lawyer, an accountant or a tax adviser, their fees are their own and unaffected by Vareth. We will never tell you that selling through Vareth means keeping 100% of your proceeds, because that depends entirely on who else you hire.

And if you later ask us to help prepare your financials or marketing materials, that is separate paid work, quoted in advance, and never a condition of marketplace access.

Where our role ends

Vareth is not your broker and does not act as your representative. We do not value your business, we do not advise you on price, we do not negotiate on your behalf, and we do not manage the transaction.

We do the first part: finding and introducing acquirers who genuinely fit. From the introduction onward, you deal with the buyer directly, and we would strongly encourage you to have proper professional support when you do. Most owners benefit from an M&A advisor, and we are happy to work alongside one.

Two ways to use Vareth

On your own

You want to meet credible acquirers and see what the market says before committing to a full sell-side engagement. You handle conversations yourself and bring in professionals when the process demands it. Introductions come straight to you.

Through your advisor

You already have an M&A advisor or investment bank running your process. Nothing changes. You name them at submission, we deal with them, and every buyer introduction is routed to them. We are simply an additional source of relevant acquirers for a process they continue to control.

The kind of business the marketplace fits

Vareth focuses on established U.S. businesses with roughly $2M to $50M in annual revenue that are profitable or credibly near it, with real operating history and enough financial record-keeping to support a buyer conversation.

Opportunities outside that range are considered where we have buyer demand that fits. If you are not sure whether your business belongs here, submit it. Telling you honestly that we are not the right channel costs us nothing and saves you a month.

We are less useful if you are pre-revenue, if you are looking to raise capital rather than sell, or if you need someone to run a full competitive sale process for you. In the last case, hire an advisor. Then, if you want, use us as well.

What we ask for, and why

The submission form asks for enough to determine three things: that you are who you say you are, that you have the authority to bring this business to market, and that a buyer could form a preliminary view.

That means company details, seller-reported financial figures, ownership situation, your reason for exploring a sale, timing, and whatever supporting documentation you are comfortable providing at this stage.

We review those documents for basic consistency. We do not audit them, and we present financial figures to buyers as seller-reported, because that is what they are. Buyers are told plainly that they must perform their own due diligence.

What happens after you submit

Review: We confirm identity, authority and basic business legitimacy, and come back to you with any gaps.

Decision: We accept the opportunity, ask for clarification, place it on hold, or decline it against published standards. If we decline, we tell you why.

Profile: We build the anonymous profile and send it to you to check before any buyer sees it.

Matching: We shortlist acquirers whose criteria fit and distribute to them only.

Introduction requests: When a buyer wants to proceed, we bring you the request with the rationale. You approve or decline.

Introduction: We introduce you, or your advisor, to the buyer. From there you deal directly.

Frequently asked questions

Will my staff, customers or competitors find out?

Not from us. Your company is never publicly listed and your identity is not disclosed to any buyer until you approve an introduction. Buyers accept confidentiality terms before they receive identifying information or protected materials.

Do I have to accept every introduction request?

No. You approve identity disclosure and direct contact. If you do not want to meet a particular buyer, say so and it does not happen.

What if I already have an M&A advisor?

Name them when you submit. We work with them, and every introduction is routed to them.

Am I committing to sell?

No. Submitting an opportunity does not oblige you to sell, to accept an introduction, or to continue any conversation.

Do you tell me what my business is worth?

No. Vareth does not provide valuations or opinions on price. Buyers will form their own views, and you should get independent advice.

What does it cost?

Nothing for marketplace access. There is no listing fee and no Vareth success fee on a transaction.
